This Privacy Policy explains how E2B4 Corp (“E2B4,” “we,” “us,” or “our”) collects, uses, and discloses personal information through e2b4.com and any other E2B4 online property that links to this policy (together, the “Site”).
Access to E2B4’s virtual data room and any materials relating to a securities offering is governed by the separate agreements you execute to obtain that access, including any non-disclosure agreement and subscription documents. Where those agreements address the handling of your information, they control over this policy to the extent of any conflict.
1. Information we collect
Information you provide
When you complete a form on the Site — for example our contact or quote request form — we collect the information you enter. That currently includes your first and last name, company name, email address, mailing address where you provide it, and the content of any message or project details you submit. If you email, call, or otherwise correspond with us, we collect the information contained in that correspondence.
Information collected automatically
Our hosting provider generates server logs that record your Internet Protocol (IP) address, browser type and settings, operating system, referring page, the pages you request, and the date and time of each request. We may use cookies and similar technologies, including tags deployed through Google Tag Manager, to understand how the Site is used. Your IP address is also transmitted to Google when your browser loads the web fonts we use. Approximate location may be inferred from an IP address; we do not collect precise geolocation from your device.
You can set your browser to refuse cookies or to alert you when cookies are being sent. Some parts of the Site may not function properly if you do.
Information we do not intentionally collect
We do not ask you through the Site for government identification numbers, financial account numbers, health information, biometric data, precise geolocation, or other categories of sensitive personal information. Please do not submit such information through a Site form. Information required to verify accredited investor status or to satisfy know-your-customer obligations is collected only through the separate offering process, not through this Site.
2. How we use personal information
- To respond to your inquiry, quote request, or other correspondence.
- To provide information about the E2B4 project, its development status, and related opportunities where you have asked to receive it.
- To operate, secure, maintain, and improve the Site, including diagnosing technical problems and detecting fraud, spam, and abuse.
- To maintain business records and to comply with legal, regulatory, tax, accounting, and recordkeeping obligations, including those arising under United States securities laws where your inquiry relates to an offering.
- To establish, exercise, or defend legal claims.
3. How we disclose personal information
We disclose personal information to the following categories of recipients:
- Service providers and processors that perform functions on our behalf, including web hosting, email delivery, customer relationship management, form processing, spam filtering, and analytics. These providers are permitted to use the information only to perform services for us.
- Professional advisors — counsel, accountants, auditors, engineers, and consultants — under duties of confidentiality.
- Affiliates and project entities under common control with E2B4 Corp, for the purposes described in this policy.
- Counterparties in a transaction, including placement agents, underwriters, lenders, transfer agents, and investor-verification providers, where your information was submitted in connection with a financing or commercial discussion.
- Government authorities and others where we believe disclosure is required by law, regulation, subpoena, or legal process, or is necessary to protect the rights, property, or safety of E2B4, our users, or others.
- An acquirer in connection with a merger, financing, reorganization, sale of assets, or similar transaction, or in the course of due diligence for such a transaction.
We do not sell personal information for money, and we do not share personal information for cross-context behavioral advertising, as those terms are defined under California law. We have not done so in the twelve months preceding the effective date of this policy.
4. Retention
We retain personal information for as long as needed for the purposes described above. Inquiry and correspondence records are generally retained for the duration of the relationship and for a reasonable period afterward. Records relating to a securities offering, and records we are required to keep under applicable securities, tax, and corporate law, are retained for the periods those laws require, which may be several years. Server logs are retained for the period set by our hosting provider’s standard configuration.
5. Security
We use reasonable administrative, technical, and physical safeguards designed to protect personal information, including encryption of Site traffic in transit. No method of transmission or storage is completely secure, and we cannot guarantee absolute security. You transmit information to us at your own risk.
6. Your California privacy rights
If you are a California resident, the California Consumer Privacy Act, as amended by the California Privacy Rights Act (“CCPA”), gives you the rights described in this section. This section also serves as our notice at collection.
Categories of personal information
In the twelve months preceding the effective date of this policy, we have collected the following statutory categories of personal information, obtained from you directly and automatically from your device and browser, and have disclosed each of them for a business purpose to the categories of recipients listed in Section 3:
- Identifiers — name, postal address, email address, IP address.
- Personal information listed in the California customer records statute — name, address, telephone number where provided.
- Commercial information — records of inquiries made and interest expressed.
- Internet or other electronic network activity information — browsing and interaction data relating to the Site.
- Geolocation data — approximate location inferred from IP address.
- Professional or employment-related information — company name, role, and similar details where you provide them.
We do not collect sensitive personal information through the Site for the purpose of inferring characteristics about you, and therefore the right to limit the use of sensitive personal information does not apply.
Your rights
- Right to know the categories and specific pieces of personal information we have collected about you, the categories of sources, the business or commercial purposes for collecting it, and the categories of third parties to whom we disclose it.
- Right to delete personal information we have collected from you, subject to exceptions, including where we must retain the information to comply with a legal obligation.
- Right to correct inaccurate personal information we maintain about you.
- Right to opt out of the sale or sharing of personal information. As stated above, we do not sell or share personal information, so there is nothing to opt out of. We honor Global Privacy Control signals as an opt-out request where they apply.
- Right to non-discrimination for exercising any of these rights.
How to submit a request
Submit a request by emailing privacy@e2b4.com with “Privacy Request” in the subject line, or by writing to the postal address in Section 10. We will verify your identity before responding, generally by matching the information in your request against information we already hold, and may ask for additional information to complete verification. We will respond within 45 days, and may extend that period by another 45 days where reasonably necessary, in which case we will tell you.
An authorized agent may submit a request on your behalf with written permission signed by you, and we may contact you to confirm the authorization.
7. Other United States residents
Several other states have enacted consumer privacy laws granting rights of access, correction, deletion, and portability. If you are a resident of such a state and believe those rights apply to you, contact us using the details in Section 10 and we will respond consistent with applicable law.
8. Children
The Site is intended for business and professional audiences and is not directed to children. We do not knowingly collect personal information from anyone under 16, and we do not sell or share the personal information of consumers we know to be under 16. If you believe a child has provided us personal information, contact us and we will delete it.
9. Third-party links and services
The Site links to and embeds content from third-party services, and those services collect information under their own privacy policies, which we do not control. We encourage you to read the privacy policy of any third-party service before providing information to it.
10. Changes and contact
We may update this policy from time to time. When we do, we will revise the “Last updated” date above, and material changes will be indicated on this page. Your continued use of the Site after an update means you accept the revised policy.
